Welcome to Lawshelf’s video course on negotiating and drafting contracts. In this course, we’ll go through the process of bringing an initial tentative agreement through the final stages of a complex binding contract. Some knowledge of contract law is helpful to understanding this course, but the materials are presented at a level that is accessible to the layperson.

We will first look at the preliminary agreement, including discussions of the parties, due diligence, terms and offer sheets that constitute the first series of steps in the contract formation process.

We will then turn to the negotiating process. We will focus on legal rules that define the parameters of negotiation, but also at practical considerations that define the negotiation process and that set negotiations of different deals apart from each other.

We will then look into common contract provisions themselves. For each provision, will first discuss its background and purpose and look at the circumstances under which each party is likely to support such provision. Then, we will present samples of each provision. The text of each sample is made available for your study or use.

The goal of this program is to familiarize you with contract provisions in the process of creating a binding agreement. Other courses will cover the laws that relate to contract formation, breach and remedies.

How do I learn?
Badge programs are divided into 5 or 6 modules.  Each module contains a video lesson (usually 15-20 minutes long) and a series of self-test questions that you can use to practice and make sure that you understand the material.

How do I earn a badge?
To complete the program and earn your digital badge, you must pass a 30-question multiple-choice examination by scoring 70% or higher.  The questions on the exam are randomly selected from the self-test question sets for the various modules.  You can retake the exam as many times as you need, though you may not get exactly the same questions each time.

How long will it take me to complete a badge program?
Between watching the modules, doing the self-test practice questions, reviewing the material and taking the final exam, we estimate that completing a badge program requires a time investment of 3-5 hours.  The badge programs are designed to get straight to the point. We’re cognizant that your time is valuable, and we condense the information you need to know to comprehensively cover a subject into as little time as we can.

How long do I retain access to the badge program materials?
You will be able to access the modules and take the final exam for one year after the date of purchase.  The badge itself, once you have earned it by passing the final exam, remains valid indefinitely.
